1. Scope

These Terms and Conditions govern the use of the website www.habb.ch as well as all contracts and services between Habb Switzerland and its customers.

By accessing the website or commissioning a service, you accept these Terms. Deviating terms of the customer apply only if expressly acknowledged in writing by Habb Switzerland.

2. Services

Habb Switzerland provides technology, software and consulting services, including the ERP and automation solution HABB One. The type and scope of services result from the respective offer or individual agreement.

Our solutions are modular and can be adapted and extended to the customer's industry and processes on request.

3. Offers and Conclusion of Contract

Offers and quotations from Habb Switzerland are non-binding unless expressly stated otherwise. A contract is concluded upon written order confirmation by Habb Switzerland or upon commencement of the services.

Side agreements and amendments require written form to be valid.

4. Customer Cooperation

The customer provides Habb Switzerland with all information, documents and access required for the provision of services in a timely and complete manner and designates a responsible contact person.

Delays caused by insufficient cooperation of the customer are not at the expense of Habb Switzerland.

5. Prices and Payment Terms

Unless agreed otherwise, all prices are quoted in Swiss francs (CHF) plus statutory VAT. The prices stated in the respective offer apply.

Invoices are payable within 30 days of the invoice date without deduction. In the event of default, Habb Switzerland may charge default interest and reasonable reminder fees.

6. Intellectual Property and Usage Rights

All content on this website as well as all concepts, software components and documents developed by Habb Switzerland are protected by copyright and remain the property of Habb Switzerland.

The customer receives a non-exclusive right to use the agreed deliverables, limited to the contractual purpose, unless agreed otherwise in writing.

7. Warranty

Habb Switzerland provides its services with due care and in accordance with recognised professional standards. The customer inspects the services upon receipt and reports any defects without delay.

In the case of justified notices of defect, Habb Switzerland remedies the defect within a reasonable period by way of rectification.

8. Liability

Habb Switzerland is liable for damages only in the event of intent or gross negligence. Liability for slight negligence as well as for indirect damage, consequential damage, lost profit or data loss is excluded to the extent permitted by law.

Habb Switzerland accepts no responsibility for the content of linked third-party websites.

9. Data Protection

Habb Switzerland processes personal data in accordance with the Swiss Data Protection Act and – where applicable – the GDPR. Details of data processing are set out in the Privacy Policy.

10. Contract Term and Termination

The term of a contract is governed by the individual agreement. Unless agreed otherwise, a continuing obligation may be terminated by either party in writing subject to a reasonable notice period. The right to extraordinary termination for good cause remains reserved.

11. Governing Law and Place of Jurisdiction

These Terms and all contracts with Habb Switzerland are governed exclusively by the substantive law of Switzerland, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction is the registered office of Habb Switzerland, unless the law provides for a mandatory alternative jurisdiction.

12. Changes to These Terms

Habb Switzerland reserves the right to amend these Terms at any time. The version valid at the time of conclusion of the contract or use of the website applies. The current version is published on this website.

13. Severability Clause

Should individual provisions of these Terms be or become wholly or partially invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by a provision that comes closest to its economic purpose.
